1.0 Introduction & Definitions Welcome to ReviveRx Learning, a platform providing access to a comprehensive curriculum of e-learning modules and resources designed to empower pharmacy teams towards operational excellence and sustainable profitability. ReviveRx Learning and its associated e-learning platform www.reviverxcellence.co.uk are operated and maintained by or on behalf of Captivating Training Solutions Ltd.

By accessing ReviveRx Learning, you agree to be bound by the following terms and conditions (“Terms”), Our Privacy Policy, and Our Cookie Policy. If you have any queries about ReviveRx Learning or these Terms, you can contact Us by emailing [email protected]. If you do not agree with these Terms, you should leave ReviveRx Learning and stop using ReviveRx Learning Services immediately.

“CTS” or “We” or “Us” shall mean Captivating Training Solutions Ltd (registered number SC623907) whose registered address is at 26 Ellerslie Crescent, Glasgow, G14 0NY, Scotland. “ReviveRx Learning” means the website www.reviverx.co.uk and its e-learning platform www.reviverxcellence.co.uk.

2.0 Eligibility & Registration To make use of certain parts of ReviveRx Learning, you will need to register an account with Us. To do so, you must: (a) Satisfy a minimum age requirement of eighteen (18) years of age; (b) Provide Us with complete and accurate registration information; (c) Ensure your use of ReviveRx Learning is in accordance with these Terms and any Applicable Laws (as defined in paragraph 4 below); (d)  Provide an email address and password.

By registering an account with Us, you warrant that: (a) You meet the minimum age requirement of eighteen (18) years of age; (b) You confirm you are a healthcare professional; (c) You have provided complete and accurate registration information and will keep that information updated; and (d) Your use of ReviveRx Learning does not violate these Terms or breach any Applicable Laws.

You acknowledge that you will be responsible for all activities that take place under your registered user account and for keeping your password secure. If you become aware of any actual, threatened, or suspected unauthorised use of your account or any other breach of security, you agree to notify Us immediately.

You may cancel your account with Us at any time by following the instructions on the account settings page. We may terminate your account for any or no reason, at any time, with or without notice and without liability.

To use ReviveRx Learning, you will require access to the world-wide web. You are responsible for any connection, service, and other fees associated with such access and for providing all equipment necessary to enable you to connect to the internet (including a computer and modem or other access device).

3.0 Payment and Billing Access to the ReviveRx Learning platform requires payment via a monthly or annual subscription*. By subscribing to the ReviveRx Learning programme, you agree to pay the specified fees using one of the payment methods accepted on the website.

*Some users' access may be granted via funding by local pharmaceutical bodies or sponsorship. Users with yearly subscriptions will be notified one month in advance of their subscription renewal. Users wishing to continue their subscription must confirm during this notice period. Users have 14 days from the time of renewal to cancel their subscription for a full refund.

4.0 General Rules Relating to Conduct When using ReviveRx Learning Services, you must comply with all applicable UK laws relating to online conduct (including, without limitation, content which can be posted online) and any applicable international laws, including the local laws in your country of residence (“Applicable Laws”). Users must conduct themselves respectfully and lawfully while using ReviveRx Learning and its associated platforms.

Violation of the Code of Conduct may result in immediate suspension or termination of your account, legal action for breaches of law, and reporting to relevant authorities. Prohibited activities include but are not limited to harassment, infringement of intellectual property rights, and dissemination of illegal or offensive content. We reserve the right to remove any content that violates our policies without prior notice.

5.0 Content Ownership The copyright in all material contained on, in, or available through ReviveRx Learning, including all information, data, text, music, sound, photographs, graphics, and video messages, the selection and arrangement thereof, and all source code, software compilations, and other material (“CTS Materials”) is owned by or licensed to CTS. All rights are reserved worldwide.

You may view, print, or download extracts of the CTS Materials solely for your own personal use but may not otherwise copy, edit, vary, reproduce, publish, display, distribute, store, transmit, commercially exploit, disseminate in any form whatsoever, or use the Material without CTS’s express permission. You must not frame or link to ReviveRx Learning or any part of it without Our permission.

Any trademarks, service marks, and logos (“CTS Trade Marks”) contained on or in ReviveRx Learning are exclusively owned by CTS. You may not use, copy, edit, vary, reproduce, publish, display, distribute, store, transmit, commercially exploit, or disseminate CTS Trade Marks without the prior written consent of CTS.

New or updated CTS Materials may be added to ReviveRx Learning, with the subject, scope, frequency, and timing of such updates being at the sole discretion of CTS.

6.0 Third-Party Partner Materials ReviveRx Learning may contain content uploaded by Third-Party Partners. CTS does not have any influence or control over any Materials provided by Third-Party Partners and is not responsible or liable for Third-Party Materials placed therein by the third party. CTS does not endorse any Third-Party Materials, views, or opinions placed on ReviveRx Learning by Third-Party Partners.

The copyright in all original material, but not CTS Material, provided in Third-Party Partner content on ReviveRx Learning, including all information, data, text, music, sound, photographs, graphics, and video messages (“Third-Party Materials”), is owned by or licensed to the Third-Party Partner. Usage of Third-Party Materials is covered by the terms and conditions of the Third-Party Partners.

Any Third-Party Partner trademarks, service marks, and logos (“Third-Party Partner Trade Marks”), but not CTS Trademarks, contained on or in ReviveRx Learning are exclusively owned by the Third-Party Partner. You may not use, copy, edit, vary, reproduce, publish, display, distribute, store, transmit, commercially exploit, or disseminate Third-Party Partner Trade Marks without the prior written consent of the Third-Party Partner.

New or updated Third-Party Materials may be added to ReviveRx Learning at the discretion of the Third-Party Partner.

7.0 Privacy Policy We take your privacy very seriously. CTS will only use your personal information in accordance with the terms of ReviveRx Learning Privacy Policy. By using ReviveRx Learning, you acknowledge and agree that you have read and accept the terms of ReviveRx Learning Privacy Policy and these Terms & Conditions.

8.0 Disclaimer/Liability USE OF REVIVERX LEARNING IS AT YOUR OWN RISK. REVIVERX LEARNING IS PROVIDED ON AN “AS IS” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) CTS DISCLAIMS ALL LIABILITY WHATSOEVER, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE IN RELATION TO REVIVERX LEARNING; AND (b) ALL IMPLIED WARRANTIES, TERMS, AND CONDITIONS RELATING TO REVIVERX LEARNING (WHETHER IMPLIED BY STATUTE, COMMON LAW, OR OTHERWISE), INCLUDING (WITHOUT LIMITATION) ANY WARRANTY, TERM, OR CONDITION AS TO ACCURACY, COMPLETENESS, SATISFACTORY QUALITY, PERFORMANCE, FITNESS FOR PURPOSE, AVAILABILITY, NON-INFRINGEMENT, INFORMATION ACCURACY, INTEROPERABILITY, QUIET ENJOYMENT, AND TITLE, ARE HEREBY EXCLUDED.

In particular, but without prejudice to the foregoing, we accept no responsibility for the conduct of any user of ReviveRx Learning, any technical failure of the internet or ReviveRx Learning, or any damage or injury to users or their equipment as a result of or relating to their use of ReviveRx Learning. Your statutory rights are not affected.

CTS will not be liable for any: (i) Economic loss (including, without limitation, loss of revenues, profits, contracts, business, or anticipated savings); (ii) Loss of goodwill or reputation; or (iii) Special, indirect, or consequential loss.

Notwithstanding the above, if CTS is held liable to you in relation to ReviveRx Learning, such liability shall be limited to the sums paid by you to access ReviveRx Learning Services.

Nothing in these Terms shall exclude or limit the liability of CTS for death or personal injury caused by its negligence or for any other liability which cannot be excluded by English law.

9.0 Access Restriction and Service Suspension or Termination CTS reserves the right in its sole discretion to deny you access to ReviveRx Learning, or any part thereof, with or without notice and for any reason, including, without limitation, if you fail to comply with clause 4 (Member Conduct) or any other provision of these Terms. CTS reserves the right to suspend or cease providing all or any ReviveRx Learning services, without notice, and shall have no liability or responsibility to you in any manner whatsoever if it chooses to do so.

  1. Copyright Policy It is our policy to terminate any person’s access to ReviveRx Learning if they infringe the intellectual property or proprietary rights of other users, CTS, or Third-Party Partners.

If you believe any of your work has been copied and posted on ReviveRx Learning in a way that infringes your intellectual property or proprietary rights, please contact us at [email protected], providing: (i) A description of the work that you claim has been infringed and a description of the alleged infringing copy; (ii) A description of where the alleged infringing copy has been posted on ReviveRx Learning; (iii) Your contact details; and (iv) A written statement, signed by you, confirming that you are the owner of the work or authorised to act on the owner’s behalf, and that the information you have provided is accurate to the best of your knowledge and belief.

  1. User Interaction You are responsible for how you interact with other users of ReviveRx Learning. We reserve the right, but have no obligation, to monitor how you interact with those persons.

  2. Feedback You may from time to time choose, at your sole discretion, to provide suggestions, comments, improvements, ideas, recommendations, or other feedback (“Feedback”) related to ReviveRx Learning.

If you provide CTS with any such Feedback, you hereby assign all ownership in such Feedback to Us and acknowledge that we are entitled to use and implement any such Feedback without restriction and without any obligation of confidentiality, attribution, or compensation to you. To the extent the foregoing is deemed ineffective, you hereby grant CTS a nonexclusive, perpetual, irrevocable, transferable, sublicensable, royalty-free, fully paid-up licence to use such Feedback. CTS is under no obligation to enact or action any Feedback it receives.

  1. General These Terms constitute the entire agreement between you and CTS concerning your use of ReviveRx Learning and supersede any previous arrangement, agreement, undertaking, or proposal, written or oral, between you and CTS in relation to such matters.

CTS reserves the right to update these Terms from time to time. If it does so, the updated version will be effective as soon as it is uploaded on to ReviveRx Learning, and your continued use of ReviveRx Learning following any changes constitutes your acceptance of the new Terms. You are responsible for regularly reviewing these Terms so that you are aware of any changes to them. No other variation to these Terms shall be effective unless in writing and signed by an authorised representative on behalf of CTS.

These Terms shall be governed by and construed in accordance with English law, and you agree to submit to the exclusive jurisdiction of the English Courts in relation to any dispute arising out of or relating to these Terms and/or your use of ReviveRx Learning.

If any provision(s) of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties, and all other provisions shall remain in full force and effect.

CTS’s failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by CTS in writing.

Unless otherwise expressly stated, nothing in the Terms shall create any rights or any other benefits, whether pursuant to the Contracts (Rights of Third Parties) Act 1999 or otherwise, in favour of any person other than you, CTS, and Third-Party Partners.
